The website Terms of Service, hereby referred as "T&C" is between "Plan Your Media" hereinafter referred to as "PYM" or "Plan Your Media" and the "users/ registrants" of the Website (restricted to outdoor media owners "Operators" or media buyers/users "Advertiser" or third party media sellers/affiliates "Agency") describe the terms on which Plan Your Media offers access to the Website and the Services (as defined below) through the Website.

ONLY REGISTERED USERS CAN USE THIS WEBSITE WHICH SIGNIFIES YOUR ACCEPTANCE OF TERMS AND CONDITION OF USE AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THE SAME. SO, USERS ARE REQUESTED TO READ THE TERMS AND CONDITION OF USE CAREFULLY BEFORE REGISTERING ON THE WEBSITE OR ACCESSING ANY MATERIAL, INFORMATION OR SERVICES THROUGH THE WEBSITE

1.1www.planyourmedia.com is an Internet based portal/website owned and operated by Plan Your Media, a company incorporated under the Companies Act of India, with its registered office at Noida, Uttar Pradesh, India. Use of the Website is offered to the User on acceptance of all the terms, conditions and notices contained in these "T&C", along with any amendments made by Plan Your Media at its sole discretion time to time and posted on the Website, including but not limited to imposing an additional charge for access to or use of a Service including existing or new.

1.2Plan Your Media shall not be required to notify User, whether a registered user or not, of any changes made to the "T&C" in future. The revised "T&C" shall be made available on the Website. Your use of the Website and the Services is subject to the most current version of the "T&C" made available on the Website at the time of such use. You are requested to regularly visit the home page www.planyourmedia.com to view the most current "T&C". User can determine when Plan Your Media last modified the "T&C" by referring to the "Last Updated" legend above. It shall be User's responsibility to check the "T&C" periodically for changes. Plan Your Media may require User to provide his consent to the updated "T&C" in a specified manner before prior to any further use of the Website and the Services provided on the Website. If no such separate consent is sought, User continued use of the Website, following changes to the "T&C", will constitute User acceptance of those changes.

1.3By using this Website or any facility or Service provided by this Website in any manner; or merely browsing the Website, User agrees that User have read, understood and agreed to be bound by the "T&C" of the Website and the Website's Privacy Policy available at the homepage, www.planyourmedia.com

1.4Plan Your Media agrees to deliver offered services on the website, ordered by user as per the Order Confirmation Form. As this is a media marketplace, Plan Your Media is not liable or can be held responsible for any losses, failure of Operator or Agency to provide service. Plan Your Media shall not be liable to deliver any Services purchased by Users who are not based in India and not bound by Indian laws. By accepting "T&C", User confirms that he/she or his/her company/entity which he/she represents is bound by Indian laws.

2. Services

2.1www.planyourmedia.com is an online marketplace platform that facilitates the online renting and purchase of outdoor media sites including value added services (VAS) offered by Plan Your Media and its various media Owners/ affiliate/ registered merchants/ vendors/ service providers. The Services are offered to the Users through various modes which shall include but not limited to outdoor media sites renting, VAS like flex printing and installation, campaign management, issue of coupons and vouchers that can be redeemed for various services. The purchase of products and services on the Website shall be governed by the "T&C"

2.2If you are registered as a seller (Opeartor), you may, subject to these T&C, (i) use Plan Your Media's online inventory management system, and (ii) list, offer, or create proposals for the sale of a license to advertise on billboards, transit media, street furniture, wallscapes, digital out-of-home units, and/or other out-of-home advertising units that you have the legal right to offer such license with respect thereto (collectively, "Products") on the designated areas of the Site. If you are registered as a buyer (Avertiser or Agency), you may, subject to these T&C, create and manage requests for proposals, search for, make offers on and/or purchase Products for sale on the Site. The Site and Services allow sellers to list and offer for sale Products and buyers to search for, make offers on and purchase Products in a variety of pricing formats and locations. You acknowledge that we may establish limits concerning the use of the Site and Services and have the right at any time to modify or discontinue the Site and Services (or any part thereof) without notice to you, and that Plan Your Media shall not be liable to you or any third party for any modification, restriction, suspension or discontinuance of the Site or Services. Without limiting other remedies, we may limit, suspend, or terminate the Services and/or user accounts, prohibit access to the Site and Content contained thereon (including Products), services, and tools, delay or remove hosted Content (including Products), and take technical and legal steps to keep users off the Site if (i) we reasonably think that they are creating problems or possible legal liabilities, (ii) we reasonably think they are infringing the intellectual property rights of third parties (including, without limitation, repeat infringers), (iii) they fail to pay applicable fees when due, (iv) their payment method expires or is declined, (v) they breach any term of this Agreement, or (vi) they act inconsistently with the letter or spirit of our policies. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for more than ninty (90) days, or to modify or discontinue Plan Your Media Sites, Services, or tools. You acknowledge and understand that in the event your account is canceled or deleted by you or us for any permitted reason, you will not have access to nor any right to retrieve any Content available on the Site.

3. Eligibility to use the website

3.1Use of the Site and Services is limited to parties that lawfully can enter into and form contracts under applicable law (e.g., minors are not allowed to use the Services). To register on the Site, you must provide your real name, company name, phone number and e-mail address. You agree to keep all such information current and promptly notify us of any changes. You represent and warrant that: (a) if you are a business, you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for the Site and/or Services within such country; (b) you have all requisite right, power and authority to enter into this Agreement, on behalf of yourself and the business you represent, and perform your obligations hereunder; (c) if you are a seller, you have all requisite right, power, intent and authority to sell the Products you list or offer for sale on the Site, (d) if you are a buyer, you have all requisite right, power, intent and authority to buy the Products you offer to buy or buy on the Site, (e) any information you provide to us, to other users, or to visitors is not false, inaccurate, misleading, obscene or defamatory, (f) if you are a seller, all Products you list or offer for sale on the Site comply with all applicable laws, codes, and regulations, including, without limitation, all zoning and land use laws, (g) if you are a seller, you will advise buyers of all restrictions applicable to Products you list or offer for sale on the Site, including, without limitation, all content restrictions, (h) if you are a buyer, you will abide by and comply with all restrictions applicable to Products you purchase, including, without limitation, all content restrictions, and (i) you and all of your subcontractors, agents and suppliers will comply with all applicable laws in your performance of your obligations and exercise of your rights under this Agreement.

3.2The Services on the website are not available to minors under the age of eighteen (18) or to any Users suspended/black-listed or removed from the Plan Your Media system by Plan Your Media for any reason whatsoever. If User does not conform to the above qualification, User shall not be permitted to avail of the Services or use the Website. User represent that he/she is of legal age and a representative of the company/legal entity to form a binding contract and are not a person/company/entity barred from receiving services under the laws as applicable in India. Plan Your Media reserves the right to refuse access to use the Services offered at the Website to new Users or to terminate access granted to existing Users at any point of time without informing the User and/or assigning any reasons to the User.

3.3User shall not have more than one active Account on the Website until special permission granted by Plan Your Media in writing. User is allowed to register only either as an Owner or Advertiser or Agency. Owner is defined as media owners who are renting their sites to advertisers through our website for a specific period. Advertiser is defined as entity who takes sites on rent from Owners for an agreed sum and period through our website. Agency is an affiliate/agent who facilitates/liaison between Owner and Advertiser to Rent and Sell media sites available at www.planyourmedia.com

3.4User is prohibited from transferring his/her Account to any third party.

3.5User can upgrade or downgrade as an Owner or Advertiser or Agency depending on the type of services, he/she want to offer through the website. Plan Your Media has complete right to change or approve the status of User on its own discretion.

4. User Account, Password, and Security

4.1Plan Your Media makes the Services available to User through the Website only if User have provided Plan Your Media certain required User information and created an account through Plan Your Media ID and password or other log-in ID and password, which can include a facebook, gmail, yahoo ID or any other valid email ID (collectively, the "Account Information"). The Services may also be subject to procedures for use of the Website, Terms of Offer for Sale, uploaded guidelines, rules, additional terms of service, or other disclaimer & notices, if any. If there is any conflict between the T&C and the Additional Terms, the Additional Terms shall take precedence in relation to that service.

4.2The Website requires User to register by creating an Account in order to avail the Services provided by the Website. User will be responsible for maintaining the confidentiality of the Account Information, and are fully responsible for all activities that occur under User Account. User agree to (a) immediately notify Plan Your Media of any unauthorized use of User's Account Information or any other breach of security, and (b) ensure exit from Your Account at the end of each session. Plan Your Media cannot and will not be liable for any loss or damage arising from User failure to comply with this Section 4.2. You may be held liable for losses incurred by Plan Your Media or any other user of or visitor to the Website due to authorized or unauthorized use of Your Account as a result of Your failure in keeping Your Account Information secure and confidential.

4.3The Website also allows restricted access to the Services for unregistered Users.

4.4User shall ensure that the Account Information provided by him/her in the Website's registration form is complete, accurate and up-to-date. Use of another User's Account Information for availing the Services is expressly prohibited.

4.5If User provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Plan Your Media has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Plan Your Media has the right to suspend or terminate Your Account and refuse any and all current or future use of the Website (or any portion thereof).

5. Pricing Information

5.1Plan Your Media strives to provide User with the best prices possible on products and services, he/she buy or avail of from the Website. Since Plan Your Media is an online marketplace, base prices provided are by the Operators. Plan Your Media has no role to decide on the product and services price.

5.2User agrees to provide correct and accurate credit/ debit card details to the approved payment gateway for availing Services on the Website. User shall not use the credit/ debit card which is not lawfully owned by user, i.e. in any transaction, User must use his/her own credit/ debit card. The information provided by User will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation or court order. User will be solely responsible for the security and confidentiality of his/her credit/ debit card details. Plan Your Media expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of User credit/ debit card.

5.3Plan Your Media shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any transaction, on account of you/cardholder having exceeded the preset limit mutually agreed by You with acquiring bank from time to time.

5.4 Plan Your Media follows certain Sale, cancellation and refund process for booking and cancellations done at our website. Please refer Sale and Cancellation Policy. User agrees to Sale and Cancellation policy before transacting at our website.

6. User Obligations

6.1Subject to compliance with the T&C, Plan Your Media grants User a non-exclusive, limited privilege to access and use this Website and the Services provided therein.

6.2User agrees to use the Services, Website and the materials provided therein only for purposes that are permitted by: (a) the T&C; and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

6.3User agrees to adhere to all limitations on dissemination, use and reproduction of any materials (such as the product catalogues) that User access on the Website in accordance with Section 7.

6.4User agree not to access (or attempt to access) the Website and the materials or Services by any means other than through the interface that is provided by Plan Your Media. You shall not use any crawler, deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or Content (as defined below), or in any way reproduce or circumvent the navigational structure or presentation of the Website, materials or any Content, to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Website.

6.5User acknowledge and agree that by accessing or using the Website or Services, User may be exposed to content from other users that he/she may consider offensive, indecent or otherwise objectionable. Plan Your Media disclaims all liabilities arising in relation to such offensive content on the Website. Further, User may report such offensive content in the manner prescribed under Section 17 herein.

6.6If Website allows User to post and upload any material on the Website, User hereby undertake to ensure that such material is not offensive and in accordance with applicable laws. Further, User undertake not to:

Defame, abuse, harass, threaten or otherwise violate the legal rights of others
Impersonate any person or entity, or falsely state or otherwise misrepresent User affiliation with a person or entity
Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information through any bookmark, tag or keyword
Upload files that contain software or other material protected by applicable intellectual property laws unless User own or control the rights thereto or have received all necessary consents
Upload or distribute files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Website or another's computer
Engage in any activity that interferes with or disrupts access to the Website or the Services (or the servers and networks which are connected to the Website)
Attempt to gain unauthorized access to any portion or feature of the Website, any other systems or networks connected to the Website, to any Plan Your Media server, or to any of the Services offered on or through the Website, by hacking, password mining or any other illegitimate means

Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded
Violate any code of conduct or other guidelines, which may be applicable for or to any particular Service
Violate any applicable laws or regulations for the time being in force within or outside India
Violate the T&C including but not limited to any applicable Additional Terms of the Website contained herein or elsewhere
Reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website

6.7User agree that You are solely responsible to Plan Your Media and to any third party for any breach of Your obligations under the T&C and for the consequences (including any loss or damage which Plan Your Media or its affiliates or its vendors may suffer) for any such breach.

6.8User agree and acknowledge that Plan Your Media is not the seller of the products and the services and Plan Your Media shall in no manner be deemed to be the seller of the products or services on this Website. Plan Your Media is only facilitating purchase of the products or services by User from the Operators.

7. Use of Materials

7.1Except as expressly indicated to the contrary in any applicable Additional Terms, Plan Your Media hereby grants User a non-exclusive, freely revocable (upon notice from Plan Your Media), non-transferable access to view, download and print product catalogues or any other materials available on the Website, subject to the following conditions:

User may access and use the materials solely for personal, informational, and internal purposes, in accordance with the T&C
User may not modify or alter product catalogues or any other materials available on the Website;
User may not distribute or sell, rent, lease, license or otherwise make the product catalogues or any other materials available on the Website available to others
User may not remove any text, copyright or other proprietary notices contained in the product catalogues or any other materials available on the Website.

7.2The rights granted to User in the product catalogues or any other materials as specified above are not applicable to the design, layout or look and feel of the Website. Such elements of the Website are protected by intellectual property rights and may not be copied or imitated in whole or in part. The product catalogues or any other materials available on the Website may be copied or retransmitted unless expressly permitted by Plan Your Media.

7.3Any software that is available on the Website is the property of Plan Your Media. You may not use, download or install any software available at the Website, unless otherwise expressly permitted by these T&C or by the express written permission of Plan Your Media.

8. Usage Conduct

8.1User shall solely be responsible for maintaining the necessary computer equipments and Internet connections that is required to access, use and transact on the Website.

8.2User is also under an obligation to use this Website for reasonable and lawful purposes only, and shall not indulge in any activity that is not envisaged through the Website.

8.3User shall use this Website, and any voucher/ coupons purchased/provided through it, for personal, non-commercial use only and shall not re-sell the same to any other person/user.

9. Intellectual Property Rights

9.1The Website and the processes, and their selection and arrangement, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork and computer code (collectively, the "Content") on the Website is owned and controlled by Plan Your Media and the design, structure, selection, coordination, expression, look and feel and arrangement of such Content is protected by copyright, patent and trademark laws, and various other intellectual property rights.

9.2The trademarks, logos and service marks displayed on the Website ("Marks") are the property of Plan Your Media or their Operators or respective third parties. User is not permitted to use the Marks without the prior consent of Plan Your Media, the vendor or the third party that may own the Marks.

9.3Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, Plan Your Media owns all intellectual property rights to and into the trademark "Plan Your Media", and the Website, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, designs, know-how, trade secrets and inventions (patent pending), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks.

9.4Except as expressly provided herein, User acknowledge and agree that he/she shall not copy, republish, post, display, translate, transmit, reproduce or distribute any Content through any medium without obtaining the necessary authorization from Plan Your Media or thirty party owner of such Content.

10. Third Party Content

The Website makes available general third party information such as, products and services being provided by Operator, reports on news, entertainment, technology and features, advertisements including videos, images and photographs of the products and other data from external sources ("Third Party Content"). Similar Third Party Content would also be available to User on the email received by User from Plan Your Media. The provision of Third Party Content is for general informational purposes only. User acknowledges that the Third Party Content provided to User is obtained from sources believed to be reliable. Plan Your Media does not provide any guarantee with respect to any the Third Party Content and Plan Your Media shall not be held liable for any loss suffered by User based on User reliance on or use of such data.

11. Disclaimer of Warranties & Liability

USER EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1The Website, Services and other materials are provided by Plan Your Media on an "As Is" basis without warranty of any kind, express, implied, statutory or otherwise, including the implied warranties of title infringement, merchantability or fitness for a particular purpose without limiting the foregoing, Plan Your Media makes no warranty that (1) the website and the services will meet your requirements or your use of the website or the services will be uninterrupted, timely, secure or error-free, (2) the result that may be obtained from the use of the website will be effective, accurate and reliable, (3) the quality of the website, services or other material will meet your expectations, or (4) any errors or defects in the website, services or other material will be corrected.

11.2To the maximum extent permitted by applicable law, Plan Your Media have no liability related to user content arising under Intellectual property rights, Libel, Privacy, Publicity, Obscenity or other laws. Plan Your Media also disclaims all liability with respect to the misuse, loss, modification or unavailability of any user content.

11.3Plan Your Media will not be liable for any loss that you may incur as a consequence of unauthorized use of your account or account information in connection with the website, either with or without your knowledge. Plan Your Media has tried to ensure that all the information provided on the website is correct, but Plan Your Media neither warrants nor makes any representation regarding the quality, accuracy or completeness of any data, information, product or services. Plan Your Media shall not be responsible for the delay or inability to use the website or related functionalities, the provision of or failure to provide functionalities, or for any information, software, products, functionalities and related graphics obtained through the website or otherwise arising from the use of the website, whether based on contract, Tort, negligence, strict liability or otherwise. 11.4Plan Your Media shall not be liable for any third-party product or services. The advertisement available on e-mail or website with respect to the third-party website or the products and services are for information purpose only.

12. Indemnification and Limitation of Liability

12.1User agree to indemnify, defend and hold harmless Plan Your Media including but not limited to its affiliate vendors, agents and employees from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Plan Your Media that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by user pursuant to these T&C. Further, user agree to hold Plan Your Media harmless against any claims made by any third party due to, or arising out of, or in connection with, your use of the Website, any claim that your material caused damage to a third party, your violation of the T&C, or your violation of any rights of another, including any intellectual property rights.

12.2Notwithstanding anything to contrary, Plan Your Media's entire liability to you under this T&C or otherwise shall be the refund of the money charged from You for any specific voucher or product or service, under which the unlikely liability arises.

12.3In no event shall Plan Your Media, its officers, directors, employees, partners or suppliers be liable to You, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not Plan Your Media has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortuous action, or any other claim arising out of or in connection with Your use of or access to the Website, Services or materials.

12.4The limitations and exclusions in this section apply to the maximum extent permitted by applicable law.

13. Violation of the Terms and Conditions

13.1User agrees that Plan Your Media may, in its sole discretion and without prior notice, terminate his/her access to the Website and block future access to the Website if Plan Your Media determines that User have violated these T&C or Additional Terms. User also agree that any violation by him/her of these T&C will constitute an unlawful and unfair business practice, and will cause irreparable harm to Plan Your Media, for which monetary damages would be inadequate, and You consent to Plan Your Media obtaining any injunctive or equitable relief that Plan Your Media deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Plan Your Media may have at law or in equity.

13.2User agree that Plan Your Media may, in its sole discretion, and without prior notice, terminate user access to the Website, for cause, which includes (but is not limited to): (1) requests by law enforcement or other government agencies; (2) a request by User (self-initiated account deletions); (3) discontinuance or material modification of the Website or any service offered on or through the Website; or (4) unexpected technical issues or problems.

13.3If Plan Your Media does take any legal action against User as a result of User violation of these T&C, Plan Your Media will be entitled to recover from User, and the User agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to Plan Your Media.

14. Termination

14.1The T&C will continue to apply until terminated by either User or Plan Your Media as set forth below. If User want to terminate User agreement with Plan Your Media, User may do so by (i) not accessing the Website; or (ii) closing user accounts for all of the Services that user use, where Plan Your Media has made this option available to user.

14.2Plan Your Media may, at any time, with or without notice, terminate the T&C (or portion thereof, such as any individual Additional Terms) with User if:

User breach any of the provisions of the T&C, the Privacy Policy or any other terms, conditions, or policies that may be applicable to User from time to time (or have acted in a manner that clearly shows that User do not intend to, or are unable to, comply with the same)
Plan Your Media is required to do so by law (for example, where the provision of the Services to User is, or becomes, unlawful)
The provision of the Services to User by Plan Your Media is, in Plan Your Media's opinion, no longer commercially viable
Plan Your Media has elected to discontinue, with or without reason, access to the Website, the Services (or any part thereof)

14.3Plan Your Media may also terminate or suspend all or a portion of User account or access to the Services with or without reason. Except as may be set forth in any Additional Terms applicable to a particular Service, termination of User Account may include: (i) removal of access to all offerings within the Website or with respect to the Services; (ii) deletion of User materials and Account Information, including User personal information, log-in ID and password, and all related information, files and materials associated with or inside User Account (or any part thereof); and (iii) barring of further use of the Services.

14.4User agree that all terminations shall be made in Plan Your Media's sole discretion and that Plan Your Media shall not be liable to User or any third party for any termination of User Account (and accompanying deletion of User Account Information), or User access to the Website and Services.

14.5Notwithstanding the foregoing, these T&C will survive indefinitely unless and until Plan Your Media chooses to terminate them.

14.6If User or Plan Your Media terminates User's use of the Website, Plan Your Media may delete any content or other materials relating to User's use of the Website and Plan Your Media will have no liability to User or any third party for doing so.

15. Governing Law

15.1These T&C and all transactions entered into on or through the Website and the relationship between User and Plan Your Media shall be governed in accordance with the laws of India without reference to conflict of laws principles.

15.2User agree that all claims, differences and disputes arising under or in connection with or in relation hereto the Website, the T&C or any transactions entered into on or through the Website or the relationship between User and Plan Your Media shall be subject to the exclusive jurisdiction of the courts at New Delhi, India and User hereby accede to and accept the jurisdiction of such courts.

In the event User come across any abuse or violation of these T&C or if User becomes aware of any objectionable content on the Website, please report to support@planyourmedia.com

17. Privacy Policy

The User hereby consents, expresses and agrees that he/she has read and fully understands the Privacy Policy of Plan Your Media in respect of the Website. User further gives consent that the terms and contents of such Privacy Policy are acceptable to him/her.

18. Communications

18.1User hereby expressly agrees to receive communications by way of SMS, e-mails, WhatsApp or any other digital/paper form from Plan Your Media relating to Services provided through the Website.

18.2A User can unsubscribe/ opt-out from receiving communications from Plan Your Media any point in time.

19. General Provisions

19.1Notice: All notices of Plan Your Media will be served by email or by general notification on the Website. Any notice provided to Plan Your Media pursuant to the T&C should be sent to support@planyourmedia.com

19.2Assignment: User cannot assign or otherwise transfer the T&C, or any rights granted hereunder to any third party. Plan Your Media's rights under the T&C are freely transferable by Plan Your Media to any third parties without the requirement of seeking User consent.

19.3Severability: If, for any reason, a court of competent jurisdiction finds any provision of the T&C, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the T&C shall continue in full force and effect.

19.4Waiver: Any failure by Plan Your Media to enforce or exercise any provision of the T&C, or any related rights, shall not constitute a waiver by Plan Your Media of that provision or right.

20. Feedback and Information

Any feedback User provides to this Website shall be deemed to be non-confidential. Plan Your Media shall be free to use such information on an unrestricted basis. Further, by submitting the feedback, User represent and warrant that (i) User feedback does not contain confidential or proprietary information of User or of third parties; (ii) Plan Your Media is not under any obligation of confidentiality, express or implied, with respect to the feedback; (iii) Plan Your Media may have something similar to the feedback already under consideration or in development; and (iv) User are not entitled to any compensation or reimbursement of any kind from Plan Your Media for the feedback under any circumstances.
